Terms of Service

Who we are

These terms govern services provided by Vertical Integrations Unlimited LLC, a Florida limited liability company located in Mount Dora, Florida ("we," "us," "Agency"). By purchasing a subscription or one-time service, you ("Client") agree to these terms.

Clients who sign a Master Services Agreement with us are governed by that signed agreement. Where these website terms and a signed agreement differ, the signed agreement controls.

What we provide

Marketing and technology services including website design, hosting and maintenance; lead capture and appointment booking; automated messaging and AI phone answering; reputation and review management; search and social media presence management; advertising campaign management; photography; and related services as described in the plan you purchase.

Services are provided on a month-to-month subscription basis unless stated otherwise. One-time services — setup fees, photography sessions, design work — are billed separately from subscriptions.

Billing

• Setup fees and the first month's subscription are charged at signup.
• Subscriptions renew automatically each month on the same calendar day, at the rate agreed at signup, until cancelled.
• Advertising budgets are separate from management fees and are either paid directly to the advertising platforms or passed through at cost with no markup.
• Prices are in U.S. dollars. Payments are processed by our payment provider; we do not store your card details.
• If a payment fails we will attempt to reach you and retry. Services may be paused if an invoice remains unpaid for more than fifteen days.

What we need from you

Timely access to accounts we manage on your behalf, accurate business information, and reasonable responsiveness on approvals. Delays in providing these will extend delivery timelines.

You confirm that any contact information you provide for messaging campaigns was collected with the consent required by law, and that you have the right to authorize us to communicate with those contacts on your behalf.

Ownership

Your business name, logo, photographs of your work, customer data and content you provide remain yours. Websites, campaign assets and creative work we produce for you become yours once paid for. Our underlying systems, templates, workflows and processes remain ours.

We may reference your business and results as a case study or portfolio example. If you'd rather we didn't, tell us and we won't.

Results

We work hard to grow your business and we report honestly on what happens. We do not guarantee specific rankings, lead volumes, revenue figures or advertising outcomes — no one legitimately can, and search engines and ad platforms are outside our control.

Liability

To the fullest extent permitted by law, our total liability for any claim relating to our services is limited to the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental or consequential damages, including lost profits.

Governing law

These terms are governed by the laws of the State of Florida. Any dispute will be brought in the state or federal courts located in Lake County, Florida.

Refund & Cancellation Policy

Cancelling a subscription

Subscriptions are month to month with no long-term contract. You may cancel at any time by giving us thirty (30) days' written notice by email. Your service continues, and is billed, through the end of that notice period. You will not be charged after it ends.

Refunds on monthly subscription fees

Monthly subscription fees pay for work performed during that month and are non-refundable once the month has begun. We do not pro-rate partial months.

That said: if we have failed to deliver what you paid for in a given month, tell us. We would rather make it right than have you feel you paid for nothing. Adjustments are handled case by case and in good faith.

Refunds on setup fees

Setup fees cover the initial build — website development, system configuration, account setup and launch. Because that work is done up front and is specific to your business:

• Before work begins: fully refundable. Change your mind before we've started building and we return the setup fee in full.
• After work has begun but before launch: refunded on a pro-rata basis reflecting work already completed.
• After launch: non-refundable, as the work has been delivered.

One-time services

Photography sessions, design work and other one-time services are refundable in full if cancelled at least 48 hours before the scheduled date or before work begins. After that they are non-refundable, though we will always work with you to reschedule.

Advertising spend

Money already spent with Google, Meta or another advertising platform cannot be refunded by us — it has left our hands. Unspent budget held on your behalf is returned in full.

Disputes

If you have a problem with a charge, please contact us first. We answer, and we can usually fix it the same day. Filing a chargeback without contacting us delays resolution for both of us and may result in suspension of service.

Privacy Policy

What we collect

From clients: business and contact information, billing details processed by our payment provider, and credentials you provide so we can manage accounts on your behalf.

From visitors to this website: standard technical information such as pages viewed and general location, and anything you voluntarily send us by phone, text or email.

How we use it

To deliver the services you've purchased, to communicate with you, to generate reviews and reputation activity on your behalf, to measure and report on performance and return on investment, and to meet our legal and accounting obligations.

What we don't do

We do not sell your information. We do not share your customer data with other clients. We do not use your data for anything beyond delivering and improving the service you're paying for.

Who else touches it

We use third-party providers to run the service — payment processing, website and CRM platforms, communication and advertising services. They receive only what they need to perform their function and are bound by their own agreements.

Security

We take reasonable measures to protect the information in our care, including storing account credentials in encrypted password management. No system is perfectly secure, and we will notify you promptly if we become aware of a breach affecting your information.

Your choices

You may request a copy of the information we hold about you, ask us to correct it, or ask us to delete it, subject to records we're required to keep. Contact us at vertical.integrations.unlimited@gmail.com.
